Meanwhile, in a recent statement regarding the ruling, Wayfair--which generated nearly $5 billion in sales last year and already collects sales tax in most jurisdictions--insisted the decision would not impact its bottom line: "Wayfair already collects and remits sales tax on approximately 80 percent of our orders in the U.S., a number that continues to grow as we expand our logistics footprint," the CEO said.
The 5-4 vote overturned this ruling, citing companies like Newegg, Wayfair, and Overstock in the Supreme Court decision, stating that “each easily meets the minimum sales or transactions requirement of the Act, but none collects South Dakota sales tax.” Amazon began voluntarily collecting taxes in the 45 states that require it last year, but only on items from its own inventory, meaning sellers on Amazon Marketplace may be impacted by this ruling.
In the 2000s, with more and more Internet users and the birth of iPhone, customers started searching products and making decisions about their needs online first, instead of consulting a salesperson, which created a new problem for the marketing department of a company. In addition, a survey in 2000 in the United Kingdom found that most retailers had not registered their own domain address.These problems made marketers find the digital ways for market development.
In order to engage customers, retailers must shift from a linear marketing approach of one-way communication to a value exchange model of mutual dialogue and benefit-sharing between provider and consumer. Exchanges are more non-linear, free flowing, and both one-to-many or one-on-one. The spread of information and awareness can occur across numerous channels, such as the blogosphere, YouTube, Facebook, Instagram, Snapchat, Pinterest, and a variety of other platforms. Online communities and social networks allow individuals to easily create content and publicly publish their opinions, experiences, and thoughts and feelings about many topics and products, hyper-accelerating the diffusion of information.
Internet Vendor. A vendor that derives sales from transactions consummated over the Internet, whether such transactions are: (a) completed on a website maintained or operated by the vendor itself, or a website maintained or operated by a related person or a person with which the vendor contracts, including a marketplace facilitator and/or (b) fulfilled by a related person or a person with which the vendor contracts. An Internet vendor, in addition to its Internet sales, may also derive sales from orders completed other than over the Internet.
2, Dormant Commerce Clause. The provisions of M.G.L. c. 64H, § 1 are enforced to the extent allowed by the “physical presence” dormant Commerce Clause standard as set forth in Quill Corp. v. North Dakota, 504 U.S. 298 (1992), where a state sought to impose a use tax collection duty on an out-of-state mail order vendor on sales of tangible personal property shipped into the state. Unlike the mail order vendor at issue in Quill, Internet vendors with a large volume of Massachusetts sales invariably have one or more of the following contacts with the state that function to facilitate or enhance such in-state sales and constitute the requisite in-state physical presence:

Two other practical limitations can be seen in the case of digital marketing. After years of confusion, the internet sales tax issue was sent to the Supreme Court, in a case called S. Dakota v. Wayfair. In June 2018, the Court ruled for the state of South Dakota, saying that online sellers had an unfair advantage and that states have the right to require online sellers to charge and collect sales tax to buyers in their state.

Accountants further expect--and some are even advising their business clients to consider--moving operations out of states that have aggressive tax policies, such as Texas. "I've definitely heard that some clients are considering pulling out of some states," adds Virginia CPA Barrett. While the physical presence rule may seem clear, this is not necessarily the case. In Quill, the Supreme Court discusses not only physical presence, but also several types of potential nexus (connections) between a business and a state. Many states, including Texas, have used the term nexus rather than physical presence in their sales tax laws, regulations, or other official documents, and have sometimes defined nexus in ways that could go beyond physical presence.
To be clear, the South Dakota case on tax collection applies only to online retailers with more than $100,000 in annual sales or 200 transactions from the state. It remains to be seen how that threshold may play out with other states and whether most states would place the tax collection burden on third-party marketplace operators like Amazon, eBay or Etsy.

Of course, plenty of small businesses--brick-and-mortar shops in particular--cheered the decision, which they say levels the playing field for all businesses that sell goods, whether online or off. With it, the High Court moved to overturn a 1992 ruling--Quill v. North Dakota, in which many small businesses gained a competitive advantage--holding that any seller must have a physical presence in a state in order to be required to collect and remit tax. In other words, if your company didn't have a physical presence in Ohio, you could avoid charging taxes on your Ohio sales.
Internet sales are treated just like sales made at retail stores, by sales representatives, over the telephone, or by mail order. If your business is located in California, retail sales of tangible personal property that you make over the Internet to California customers are generally taxable unless the sales qualify for a specific tax exemption or exclusion (see Nontaxable Sales), and you are required to register for a permit and report and pay tax to the same extent as any other retailer in California.

Internet usage around the world, especially in the wealthiest countries, has steadily risen over the past decade and it shows no signs of slowing. According to a report by the Internet trend investment firm Kleiner Perkins Caulfield & Byers, 245 million people in the United States were online as of 2011, and 15 million people connected for the first time that year. As Internet usage grows, online commerce grows with it. As a former state and local official, I know that many states will rush in and try to get their hands on additional revenue. Some states have already moved to begin collecting — some even on the smallest seller — and some have even threatened retroactive taxation. These officials will be more than happy to impose these burdens on businesses that don’t reside in their state and whose votes they don’t depend on.
The Truth? You don't often come across genuine individuals in this space. I could likely count on one hand who those genuine-minded marketers might be. Someone like Russel Brunson who's developed a career out of providing true value in the field and helping to educate the uneducated is one such name. However, while Brunson has built a colossal business, the story of David Sharpe and his journey to becoming an 8-figure earner really hits home for most people.
If you are a seller making sales through an online marketplace in this manner, you are generally considered the retailer for purposes of such sales. However, if the marketplace operator is also providing fulfillment services, the marketplace operator will be considered the retailer if it has possession of the property at the time of sale and it can transfer ownership to the purchaser without further action by you. (Please note: If the marketplace operator has the authority to transfer ownership, but a different person, such as a fulfillment center operator, has possession of the property at the time of sale, then neither person would be a consignee, even if the two are related entities, and you would still be considered the retailer.)

4. Internet Tax Freedom Act (“ITFA”), Codified as Note to 47 U.S.C. § 151. ITFA contains certain prohibitions on state taxation of e-commerce transactions. Among other things, it prohibits discriminatory taxation of e-commerce transactions and prohibits a state from asserting jurisdiction over an Internet vendor on the basis of certain specific factors. 830 CMR 64H.1.7 is non-discriminatory because it asserts jurisdiction over all vendors (Internet or non-Internet) who have the contacts identified in 830 CMR 64H.1.7(1)(b)2.a. through c. and applies the same jurisdictional standards to all vendors (Internet or non-Internet) that are otherwise subject to tax. See 830 CMR 64H.1.7(3), (5) and (6). Further, 830 CMR 64H.1.7(3) does not assert jurisdiction based on the prohibited factors referenced in ITFA. See 830 CMR 64H.1.7(4).
You also must have a Texas permit if you live outside the state but are engaged in business here. An out-of-state seller must get a Texas permit and collect Texas tax if the seller has Texas outlets, Texas salespersons, or otherwise comes into Texas to conduct business, such as soliciting sales, performing services, or making deliveries. An out-of-state seller is subject to Texas sales and use tax in the same way as sales made by any other retail business located in Texas.
Word of mouth communications and peer-to-peer dialogue often have a greater effect on customers, since they are not sent directly from the company and are therefore not planned. Customers are more likely to trust other customers’ experiences. Examples can be that social media users share food products and meal experiences highlighting certain brands and franchises. Congress has attempted several times to pass what's been called a Marketplace Fairness Act to solve the problem, with no version making it through the process. The most recent of these acts is in suspension, waiting for the Court's decision. Both bills include exemptions for small sellers and ways to monitor sales tax collections and make the process more fair to all types of sellers.
