(b)   Prior Tax Periods. An Internet vendor may have engaged in in-state contacts other than as referenced in 830 CMR 64H.1.7(1)(b)2.a. through c. during tax periods prior to September 22, 2017.  In these cases, the vendor is liable for tax for such prior tax periods if:  1. the contacts created sales or use tax jurisdiction and; 2. the vendor did not collect and remit the tax.  For example, for purposes of illustration only, an Internet vendor with a principal place of business located outside Massachusetts may have previously:  a. owned or maintained inventory or other property in the state; or  b. contracted with an in-state representative (including a related person) other than as referenced in 830 CMR 64H.1.7(1)(b)2.a. through c., and thereby created state sales or use tax jurisdiction.  In these cases, the Internet vendor would have been subject to tax on all of its Massachusetts sales for the tax periods in question.  Such a vendor may seek to use the Department of Revenue’s voluntary disclosure program for such prior periods.
On top of that, states are continually introducing new tax laws and modifying old ones to capture revenue on everything from streaming media to bicycles. This last one, oddly enough, was passed in Oregon, arguably one of the more bicycle-friendly states in the country, as part of a transportation bill designed to raise money for infrastructure funding.

There's a wild card, however: More than half of the units sold on Amazon worldwide last year came from third-party sellers, including many small- and medium-sized merchants. David Fildes, head of Amazon’s investor relations, said in its most recent earnings call in April that Amazon collects taxes on behalf of third-party sellers in Washington and Pennsylvania (per those states' rules). “We're not opposed to collecting sales tax” within a system that’s both “simple and applied evenhandedly,” he said.

By building enormous amounts of value, Facebook and Google both became tremendously successful. They didn't focus on revenues at the outset. They focused on value. And every single blog and business must do the same. To cease opportunity, the firm should summarize their current customers' personas and purchase journey from this they are able to deduce their digital marketing capability. Offering tangible personal property for sale on an online marketplace will generally not, by itself, cause an out-of-state retailer to be engaged in business in California, even if the marketplace operator is located in California. Generally, the use by an out-of-state retailer of a website hosted on servers located in California will not cause the retailer to be engaged in business in California. However, an out-of-state retailer that stores tangible personal property in California, including at a fulfillment center owned and operated by a third-party is engaged in business in California.


If your company sells canned (noncustom) software programs to customers who download them from a server, those sales are generally not subject to tax. However, if you also provide your customers with a backup copy on a CD-ROM, the entire transaction is taxable. Similarly, if you transmit a stock (noncustom) database to your customer over the Internet and also provide a printed copy of the contents, the entire sale is subject to tax. For basic guidance on how physical presence is defined under Texas law, consult Section 151.107 of the Texas Tax Code (Tax Law), which provides a variety of definitions for “RETAILER ENGAGED IN BUSINESS IN THIS STATE.” The first of the statutory definitions refers to maintaining a place of business in the state directly, or indirectly or through a subsidiary or agent. The fifth definition acts as something of a catch-all, by stating that a retailer who solicits orders by mail or other media can be required to collect and pay sales tax if permitted by federal law.
As mentioned earlier, technology and the internet allows for 24 hours a day, 7 days a week service for customers as well as enabling them to shop online at any hour of that day or night, not just when the shops are over and across the whole world.
