Paid channel marketing is something you’ve probably come across in some form or another. If you are a seller making sales for resale to a marketplace operator in this manner, you should obtain a timely and properly completed resale certificate from your customer to support your claimed sales for resale (see Regulation 1668, Sales for Resale). However, if you are a retailer engaged in business in California and you ship the property directly to the consumer on behalf of a marketplace operator that is not engaged in business in California, you will be responsible for reporting and paying tax as a drop shipper. Offering tangible personal property for sale on an online marketplace will generally not, by itself, cause an out-of-state retailer to be engaged in business in California, even if the marketplace operator is located in California. Generally, the use by an out-of-state retailer of a website hosted on servers located in California will not cause the retailer to be engaged in business in California. However, an out-of-state retailer that stores tangible personal property in California, including at a fulfillment center owned and operated by a third-party is engaged in business in California.
(a)   Prospective Tax Periods.  830 CMR 64H.1.7(3) applies to Internet vendors with a principal place of business located outside the state that are not otherwise subject to tax. For tax periods commencing subsequent to September 22, 2017, however, an Internet vendor may be subject to tax other than by reason of the contacts referenced in 830 CMR 64H.1.7(1)(b)2.a. through c., in which case 830 CMR 64H.1.7(3) does not apply. For example, for purposes of illustration only, an Internet vendor with a principal place of business located outside the state might :  1. own or maintain inventory or other property in the state; or  2. contract with an in-state representative (including a related person) other than as referenced in 830 CMR 64H.1.7(1)(b)2.a. through c., and thereby create state sales or use tax jurisdiction.  In these cases, the Internet vendor is subject to tax on all of its Massachusetts sales for the tax periods in question.

One small business owner Chad White, the owner of Class-Tech Cars, a Virginia-based small business that sells reproduction automotive parts online, recently testified before Congress that he has a part-time employee who — before the Wayfair decision — was able to collect and remit all applicable sales taxes in just a few hours each week. However, White said the ruling in the case “gives me, and millions of small businesses across the country, pause as we consider what lies ahead for Internet-enabled entrepreneurs.”

Congress could pass a small business exception that would differentiate eight-person businesses such as Chad White’s from retail giants, allowing those smaller companies to do what they do best: serve customers, and create jobs and hopefully grow into new robust competitors.

“Retailers have been waiting for this day for more than two decades,” National Retail Federation president and CEO Matthew Shay said in a statement Thursday. “The retail industry is changing, and the Supreme Court has acted correctly in recognizing that it’s time for outdated sales tax policies to change as well. This ruling clears the way for a fair and level playing field where all retailers compete under the same sales tax rules, whether they sell merchandise online, in-store or both.”
(b)   Prior Tax Periods. An Internet vendor may have engaged in in-state contacts other than as referenced in 830 CMR 64H.1.7(1)(b)2.a. through c. during tax periods prior to September 22, 2017.  In these cases, the vendor is liable for tax for such prior tax periods if:  1. the contacts created sales or use tax jurisdiction and; 2. the vendor did not collect and remit the tax.  For example, for purposes of illustration only, an Internet vendor with a principal place of business located outside Massachusetts may have previously:  a. owned or maintained inventory or other property in the state; or  b. contracted with an in-state representative (including a related person) other than as referenced in 830 CMR 64H.1.7(1)(b)2.a. through c., and thereby created state sales or use tax jurisdiction.  In these cases, the Internet vendor would have been subject to tax on all of its Massachusetts sales for the tax periods in question.  Such a vendor may seek to use the Department of Revenue’s voluntary disclosure program for such prior periods.
3.  Due Process Clause.  The provisions of M.G.L. c. 64H, § 1 are enforced subject to the limitations of the Due Process Clause of the U.S. constitution.  See Quill Corp. v. North Dakota, 504 U.S. 298 (1992).  In the instance of a vendor with a principal place of business located outside the state, due process generally requires that such vendor purposefully avail itself of the state’s economic market. See id.  The degree to which a vendor must purposefully avail itself of a state’s economic market to meet the requirements of due process can be uncertain in the instance of Internet vendors with a principal place of business located outside the state.  Therefore, 830 CMR 64H.1.7(3) sets a bright line threshold intended to reflect a level of purposeful availment at which the requirements of due process will be met in the case of such vendors.

I wanted to update you on the Internet Profit scam. a) I received this “scam” notification via a phone call, voice mail message that sounds fairly legit, which could suck people in, b) they are using Amazon.com to try to “legitimize” their scam, and c) they also are using a .org address in their link to further make people feel that this scam is real. Buyer beware. It’s easy to be received, they are using all the tricks.
This exciting trend faces a potential hurdle after a Supreme Court ruling this summer. The case (South Dakota v. Wayfair) overturned a decades-old precedent in Quill Corp v. North Dakota. Specifically, the decision struck down the “physical presence” standard, which stipulated that out-of-state sellers, referred to as remote sellers, were not required to collect sales tax for states where they did not have a physical presence.
(a)   Requirement to File Tax Return.  An Internet vendor subject to 830 CMR 64H.1.7(3) must file a tax return in the form and manner prescribed by the Commissioner and pay the tax due for each calendar month on or before the 20th day of the following calendar month, whether or not the vendor must collect any other local or state excises.  For applicable record retention requirements, see 830 CMR 62C.25.1:  Record Retention.
